Terms of Service — Paysonas

These Terms of Service ("Terms") govern your access to and use of the payment processing services, merchant portal, websites, and other products offered by Paysonas ("we", "us", or "our"). By using our Services or registering as a merchant, you agree to these Terms.

1. Services

Paysonas provides a suite of payment processing services, including real-time ACH, ACH batch processing, P2P payments, and credit/debit card processing. Services are provided subject to underwriting, risk assessment, and compliance with applicable laws and network rules.

2. Merchant accounts

To use our Services, you must complete our registration process and provide accurate, complete, and current information. We reserve the right to approve, suspend, or terminate merchant accounts at our discretion. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Fees and pricing

Processing fees vary based on business type, processing volume, risk profile, and payment method. Fees are disclosed in your merchant agreement or quote. Our fees start from as low as 1% plus transaction fees, depending on the service. You are responsible for all fees, chargebacks, refunds, and penalties associated with your account.

4. Prohibited activities

You may not use our Services for any unlawful, fraudulent, or unauthorized purpose. This includes:

Processing transactions that are illegal, deceptive, or unauthorized
Using the Services to disguise the origin of funds or launder money
Violating applicable card network, banking, or regulatory rules
Interfering with the security or integrity of our platform

5. Indemnification

You agree to indemnify and hold harmless Paysonas, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, liabilities, damages, and expenses arising out of your use of the Services or breach of these Terms.

6. Limitation of liability

To the fullest extent permitted by law, Paysonas shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services. Our aggregate liability shall not exceed the total fees paid by you to Paysonas in the three months preceding the event giving rise to liability.

7. Termination

Either party may terminate the merchant relationship as provided in your merchant agreement. Upon termination, all outstanding amounts owed to Paysonas become immediately due and payable.

8. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of laws principles. Any disputes arising under these Terms shall be resolved in the courts located in Toronto, Ontario.

9. Changes to these Terms

We may update these Terms from time to time. The updated version will be effective when posted, with the "Last updated" date reflecting the change. Continued use of the Services after changes constitutes acceptance of the revised Terms.
